Terms of service

These terms govern the use of BizFi, the social Wi-Fi and digital menu service that Biztems SRL provides to businesses for use in their venues. They apply together with the offer or contract you signed with us, which prevails where the two differ. This is a translation: if it differs from the Italian version, the Italian version prevails.

1. Who we are and who these terms are for

BizFi is provided by Biztems SRL, registered office Via Sarajevo, 13 – 84014 Nocera Inferiore (SA), Italy, VAT number IT04857960654 (“Biztems”, “we”).

BizFi is a service for businesses: these terms apply to the business that activates it for one or more venues (“the Customer”) and to the people the Customer authorises to use it. It is not a service for consumers.

Guests who join a venue’s Wi-Fi are not party to these terms: see section 14.

2. The service

BizFi includes:

  • a Wi-Fi portal in the venue’s brand, which guests see when they join the venue’s network: it collects the data the Customer chooses, with the related consents, and gets guests online for the time the Customer chooses;
  • a digital menu, available from the portal or a QR code, in several languages;
  • a dashboard to manage venues, guests, connections, menus, the portal’s look and team members, and to export contacts.

We improve BizFi over time: we may add, change or replace features, as long as the essential features in the offer remain available.

3. Technical requirements

The portal works with Ubiquiti UniFi networks. For it to work, the Customer must:

  • have compatible UniFi equipment and a suitable internet connection, and keep them working;
  • set up the network as our instructions describe (among other things: the guest network in Hotspot mode, the external portal, and the addresses reachable before sign-in);
  • give us an access key to its UniFi console, which we use only to let guests online and to recognise the venue’s access points, and which we store encrypted.

The venue’s network, equipment, internet connection and Ubiquiti’s cloud services remain the Customer’s and its providers’: we are not responsible for them, and if they fail, guests may be unable to get online even when BizFi works.

4. Accounts and team members

The Customer signs in to the dashboard with personal accounts, created by invitation. It can invite team members with two roles: admin and manager. Both see the guest data of the venues they can access and can export it.

The Customer chooses whom to invite and is responsible for what they do. Credentials are personal: keep them confidential and don’t share them. If you suspect unauthorised access, write to us straight away at info@biztems.it.

5. The Customer’s obligations

For guest data the Customer is the controller. BizFi gives it the tools to comply with the law, but the choices and the responsibility are the Customer’s. In particular, the Customer:

  • gives guests its own privacy notice and Wi-Fi terms of use, and chooses which data to ask for in the portal, limiting them to what is needed;
  • uses contacts for marketing only with the guest’s consent (Art. 130 of the Italian Privacy Code) and honours withdrawals and objections;
  • acts on guests’ requests — access, erasure and the others the GDPR provides for — using the dashboard’s tools, with our help where needed;
  • chooses the retention period for guest data that suits its purposes;
  • chooses to use Meta Pixel or Google Analytics on its portal only in compliance with the law; BizFi loads them only after the guest’s consent;
  • ensures that the content it adds — brands, images, texts, menus, prices and allergen information (Regulation (EU) 1169/2011) — is accurate, up to date and content it holds the rights to, including when it imports it from third-party platforms;
  • complies with the rules that apply to offering public Wi-Fi in its venue;
  • does not use BizFi for unlawful purposes, try to get around its protections or disrupt it.

6. Processing data on the Customer’s behalf

For guest data Biztems is a processor (Art. 28 GDPR). The data processing agreement, part of the contract, provides that:

  • we process the data only to provide the service and on the Customer’s documented instructions: the settings for its venues, which the Customer chooses in the dashboard or, for some of them (the form fields, the retention period, Meta Pixel and Google Analytics), asks us to apply;
  • the people authorised to process them are bound to confidentiality;
  • we take appropriate security measures and keep the data in the European Union;
  • we use the sub-processors listed in the privacy policy and tell the Customer about any change, so that it can object;
  • we help the Customer answer guests’ requests and meet its security and breach-notification obligations, and notify it of breaches without undue delay;
  • when the relationship ends we delete or return the data, as described in section 11;
  • we make available to the Customer the information needed to demonstrate compliance with these obligations.

7. Availability and support

We do our best to keep BizFi available at all times, but we cannot guarantee an uninterrupted service: maintenance may be needed, which we try to schedule at quiet times, and our providers may have outages. Any guaranteed service levels are those in the offer.

For support, write to info@biztems.it. We also help set up the UniFi network, within the limits in the offer.

8. Fees and payment

Fees, billing periods and payment terms are those in the offer. We invoice as the law requires. Late payments bear the interest provided for by Italian Legislative Decree 231/2002 and, if a reminder goes unanswered for 15 days, we may suspend the service until payment.

9. Intellectual property and content

The BizFi software, brand and the materials we provide belong to Biztems. For the term of the contract the Customer may use them for its own venues, but may not assign, modify or resell them.

The Customer’s content — brands, images, texts, menus — remains the Customer’s, which grants us the right to store, reproduce and display it only to provide the service. Guest data also remain at the Customer’s disposal, and it can export them at any time.

10. Liability

We are liable for damage that directly results from our breach. To the extent the law allows (Art. 1229 of the Italian Civil Code) we are not liable for indirect damage, loss of profit, or damage caused by the Customer’s network or equipment, its providers or use of BizFi contrary to these terms; and our total liability does not exceed the fees the Customer paid in the 12 months before the event. These limits do not apply in case of wilful misconduct or gross negligence.

The Customer indemnifies Biztems against third-party claims, including those of guests and authorities, arising from a breach of its obligations, in particular those on the protection of guest data and on content.

11. Term, withdrawal and end of the relationship

Term, renewal and withdrawal are those in the offer. Either party may terminate the contract if the other commits a serious breach and does not remedy it within 15 days of written notice.

When the relationship ends, the Customer can still export guest data from the dashboard for 30 days. After that we delete guest data and the Customer’s content within a further 30 days, except what the law requires us to keep.

12. Changes to these terms

We may change these terms for technical, organisational or legal reasons. We announce changes by email at least 30 days before they apply; if you don’t accept them, you can withdraw without penalty before that date.

13. Governing law and jurisdiction

These terms are governed by Italian law. The courts of Nocera Inferiore have exclusive jurisdiction over any dispute.

14. For venue guests

If you join the Wi-Fi of a venue that uses BizFi, the Wi-Fi service is offered to you by the venue, under the venue’s terms of use and privacy notice: BizFi provides the venue with the portal technology. How we process your data on the venue’s behalf is explained in our privacy policy.

Use the connection lawfully and without disrupting it for others. Access lasts for the time the venue has chosen, and the venue may end it in case of abuse.
